Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Terraform Digital LLC, doing business as SportsNow ("we," "us," or "our"), governing your access to and use of the SportsNow website located at sportsnow.video and all associated services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must discontinue use of the Service immediately.

2. Eligibility

You must be at least 13 years of age to create an account on SportsNow. Users between the ages of 13 and 17 must have the consent of a parent or legal guardian to use the Service and make any purchases. If you are under 13, you may browse publicly available content but may not create an account or submit personal information.

3. User Accounts

Account registration and authentication are provided through Clerk, a third-party identity platform. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate and complete information during registration and to update such information as necessary. We reserve the right to suspend or terminate any account that we reasonably believe violates these Terms.

4. Service Description

SportsNow provides live and on-demand video streaming of high-school sports games, together with team rosters, player statistics, game schedules, and related editorial content. Video streams may be hosted on or embedded from YouTube and are subject to YouTube’s Terms of Service and Google’s Privacy Policy in addition to these Terms.

We make reasonable efforts to ensure the accuracy of schedules, scores, and statistics, but we do not guarantee that such information is error-free. Game availability is subject to change due to weather, school-district decisions, athletic-association rules, or technical constraints.

5. Premium Subscriptions

5.1 Plans & Billing

SportsNow offers optional premium subscriptions that provide ad-free viewing, multi-camera access, and additional features. Subscriptions are billed through Stripe. By purchasing a subscription, you authorize us to charge your selected payment method on a recurring basis (monthly or seasonal, as applicable) until you cancel.

5.2 Cancellation & Refunds

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period; you will retain premium access until that date. Refunds are issued at our sole discretion and only in cases where the Service was materially unavailable for an extended period. Seasonal passes are non-refundable after the first game of the purchased season has been streamed.

5.3 Price Changes

We reserve the right to adjust subscription pricing. Any price increase will be communicated to active subscribers at least thirty (30) days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the revised pricing.

6. Team Donations

SportsNow facilitates voluntary donations to participating high-school athletic programs through Stripe Connect. Donations are processed as one-time payments. A platform service fee (currently 5%) is retained by Terraform Digital LLC; the remainder is transferred to the designated team’s connected Stripe account. Donations are generally non-refundable. SportsNow does not provide tax-deduction receipts; consult your tax advisor regarding the deductibility of donations.

7. Intellectual Property

All content on the Site — including but not limited to text, graphics, logos, user-interface design, and software — is the property of Terraform Digital LLC or its licensors and is protected by United States and international copyright, trademark, and other intellectual-property laws.

Live and recorded game streams may be the property of the originating school, athletic association, or broadcast partner. You may not download, redistribute, re-stream, or create derivative works from any video content without express written permission from the rights holder.

8. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
• Harass, threaten, bully, or defame any student-athlete, coach, official, or other user;
• Attempt to gain unauthorized access to any portion of the Service, other users’ accounts, or computer systems connected to the Service;
• Use automated scripts, bots, or scraping tools to extract data from the Service without our prior written consent;
• Re-stream, screen-record for redistribution, or otherwise redistribute live or recorded game content;
• Post, transmit, or facilitate the distribution of any content that is obscene, harmful to minors, or otherwise objectionable;
• Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure.

9. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

SportsNow is an independent platform and is not affiliated with, endorsed by, or sponsored by the Minnesota State High School League (MSHSL), the Florida High School Athletic Association (FHSAA), the National Federation of State High School Associations (NFHS), or the NFHS Network.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TERRAFORM DIGITAL LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

11. Indemnification

You agree to indemnify, defend, and hold harmless Terraform Digital LLC and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual-property or privacy right; or (d) any claim that your use of the Service caused damage to a third party.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict-of-law provisions. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Stearns County, Minnesota, and you consent to the personal jurisdiction of such courts.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated by posting the updated Terms on this page with a revised "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the revised Terms.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
